RFLOW – WEBSITE AND SERVICE TERMS AND CONDITIONS

IMPORTANT – PLEASE READ CAREFULLY
Before accessing or using this website or the Rflow SaaS platform (“Service”), you must read these Terms and Conditions (“Terms”) in their entirety together with our Privacy Notice (published separately at rflow.co.uk/privacy). BY ACCESSING OR USING THIS WEBSITE OR THE SERVICE, YOU (“You”, “Your”, “User”) CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICE.
These Terms constitute a legally binding contract between You and RS Data Science Limited (“We”, “Us”, “Our”, “RSDSL”). If You are accepting these Terms on behalf of a company or other legal entity, You represent and warrant that You have the authority to bind that entity, and “You” shall refer to that entity.
| 1. ABOUT US |
1.1 rflow.co.uk is operated by RS Data Science Limited, a company registered in England and Wales under company number 16754704. Our registered office address is available from Companies House.
1.2 Rflow and the Rflow logo are registered trademarks of RS Data Science Limited.
1.3 To contact us, please email: info@rsdatascience.co.uk. We will aim to respond within fourteen (14) business days, but this is not guaranteed.
| 2. DEFINITIONS |
“Content” Any text, data, files, images, models, R scripts, output or other material uploaded to, created within, or generated by the Service.
“DigitalOcean” DigitalOcean LLC, whose services are used to host the Rflow platform on servers located in London, United Kingdom.
“Free Plan” The free subscription tier described in clause 4.1.
“Intellectual Property Rights” Patents, trademarks, service marks, trade names, copyrights, database rights, design rights, know-how and all other intellectual property rights, whether registered or unregistered, anywhere in the world.
“Project” A distinct workflow created and stored by a User within Rflow.
“Resend” Resend Inc., the third-party transactional email service used to deliver authentication, account management, and subscription notification emails to Users.
“Service” The Rflow web application, API, data analysis workflows, documentation, help content, and any other features or functionality made available at rflow.co.uk.
“Standard Plan” The paid subscription tier described in clause 4.2.
“Stripe” Stripe Payments Europe, Limited (“Stripe”), the third-party payment processor used to manage billing, subscription payments, and related financial transactions.
“User Content” All Content uploaded, submitted, or otherwise provided by You to the Service.
“Website” The website at rflow.co.uk and all associated pages.
| 3. ELIGIBILITY AND ACCOUNT REGISTRATION |
3.1 You must be at least 18 years of age to register for and use the Service. By using the Service You represent and warrant that You are 18 or older.
3.2 To access the Service You must create an account using a valid email address and a password of Your choice. Account details are verified via a confirmation email sent through Resend (see clause 6).
3.3 You agree to provide accurate, current, and complete information during registration and to keep Your account information up to date. You must not impersonate any person or entity, or provide false information.
3.4 You are solely responsible for maintaining the confidentiality of Your password and for all activity that occurs under Your account. You must notify us immediately at info@rsdatascience.co.uk if You become aware of any unauthorised access to or use of Your account.
3.5 We reserve the right to suspend or terminate Your account at any time and without prior notice if we reasonably believe that You have breached these Terms (see also clause 16).
3.6 One person or legal entity may not maintain more than one free account. Creation of multiple accounts to circumvent plan limits is a material breach of these Terms.
| 4. SERVICE PLANS AND FEATURES |
4.1 Free Plan The Free Plan is provided at no charge and includes: (a) Up to three (3) Projects; (b) 1 MB of data storage; (c) Access to all Rflow node types; (d) Data export functionality.
4.2 Standard Plan The Standard Plan is a paid monthly subscription and includes: (a) Unlimited Projects; (b) 10 MB of data storage; (c) Access to all Rflow node types; (d) Data export functionality; (e) Priority support (best-efforts basis; see clause 5.5).
4.3 Plan features, storage quotas, and pricing may be amended at any time. We will provide reasonable notice of material changes where practicable. Continued use of the Service after such changes constitutes acceptance.
4.4 We reserve the right to introduce additional tiers, discontinue existing tiers, or alter the features included within any tier at our sole discretion, subject to the notice obligations in clause 4.3.
4.5 The Service is intended for non-commercial personal use and/or educational use in learning data science and statistical analysis. Any commercial deployment requires our prior written consent.
| 5. BILLING, PAYMENTS, AND SUBSCRIPTIONS |
5.1 Payment Processing – Stripe All payments for the Standard Plan are processed by Stripe. When You subscribe to the Standard Plan You will be redirected to Stripe’s hosted checkout, where You will provide Your payment card details directly to Stripe. RSDSL does not receive, store, or process Your raw payment card details at any time. Your payment information is governed by Stripe’s own Privacy Policy and Terms of Service, available at stripe.com. By making a payment through the Service You agree to be bound by Stripe’s terms.
5.2 Subscription Billing (a) The Standard Plan is billed on a recurring monthly basis. Billing commences on the date of successful checkout and renews automatically on the same calendar date each subsequent month. (b) You authorise RSDSL and Stripe to charge Your nominated payment method on each renewal date. (c) All prices are quoted in pounds sterling (GBP) and are inclusive of any applicable Value Added Tax (VAT) unless stated otherwise. (d) If a renewal payment fails, Stripe will attempt to collect payment in accordance with its retry logic. If payment remains outstanding, Your account may be downgraded to the Free Plan automatically.
5.3 Cancellation (a) You may cancel Your Standard Plan subscription at any time via the billing section of Your profile or by contacting us at info@rsdatascience.co.uk. (b) Upon cancellation, Your Standard Plan access will continue until the end of the current paid billing period. No partial-month refunds are issued. (c) At the end of the final paid billing period Your account will be automatically downgraded to the Free Plan. If Your Projects or data exceed the limits of the Free Plan at that time, additional Projects will become read-only and You will be unable to upload new data until you delete sufficient data to fall within the Free Plan quota. (d) A cancellation confirmation email will be sent to You via Resend.
5.4 Refunds (a) All subscription fees are non-refundable except where required by applicable law. (b) No refunds or credits are provided for periods of service downtime, partial use of the Service, or dissatisfaction with results generated by the Service. (c) If You believe You have been charged in error, contact us at info@rsdatascience.co.uk within thirty (30) days of the charge date.
5.5 Priority Support (Standard Plan) “Priority support” means that Standard Plan support requests sent to info@rsdatascience.co.uk will be reviewed before those from Free Plan Users. It does not constitute a guarantee of any specific response time, service level, or resolution outcome.
5.6 Dispute Resolution for Payments Any payment disputes must first be raised with RSDSL at info@rsdatascience.co.uk. We will aim to resolve disputes within fifteen (15) business days. Initiating a chargeback without first contacting RSDSL may result in suspension of Your account pending investigation.
| 6. EMAIL COMMUNICATIONS – RESEND |
6.1 Rflow uses Resend (resend.com) to deliver transactional emails including, but not limited to: (a) Account registration verification emails; (b) Password-reset emails; (c) Subscription upgrade confirmation emails; (d) Subscription cancellation confirmation emails; (e) Other account management notifications.
6.2 By creating an account You consent to receiving these transactional emails at the address You provide. Transactional emails are necessary for the operation of the Service and cannot be opted out of while Your account remains active.
6.3 Email delivery depends on third-party infrastructure operated by Resend. RSDSL is not liable for delays, non-delivery, or errors caused by Resend’s systems or Your email provider.
6.4 You are responsible for ensuring that emails from noreply@rflow.co.uk are not blocked or filtered as spam by Your email client or provider.
6.5 Resend processes certain email metadata on our behalf. Details of how Resend handles data are set out in Resend’s privacy policy at resend.com. RSDSL has a Data Processing Agreement with Resend as required under the UK GDPR.
| 7. DATA STORAGE AND HOSTING |
7.1 All User Content and workflow data is stored on servers operated by DigitalOcean in London, United Kingdom. By using the Service You consent to Your User Content being stored in that jurisdiction.
7.2 Storage quotas apply as set out in clause 4. Exceeding a quota will prevent You from uploading additional data until You free up space or upgrade Your plan.
7.3 RSDSL does not guarantee the availability, durability, or integrity of stored data. You are solely responsible for maintaining independent backups of any User Content that is important to You.
7.4 RSDSL may apply automated cleanup policies to inactive accounts or Projects. We will endeavour to provide reasonable notice before deleting data associated with dormant accounts, but this is not guaranteed.
7.5 Your use of the Service and DigitalOcean’s infrastructure is also subject to DigitalOcean’s Acceptable Use Policy and Terms of Service, available at digitalocean.com/legal/terms-of-service-agreement. By using the Service You agree to comply with those terms insofar as they apply to Your activities.
| 8. ACCEPTABLE USE |
8.1 The Service is provided for lawful, non-commercial data science and statistical analysis purposes only. By accessing the Service You agree that You will NOT:
- Use the Service in violation of any applicable law or regulation;
- Upload, store, analyse, or display data that You do not own or do not have explicit legal authorisation to use;
- Upload, store, analyse, or display any Prohibited Data as defined in clause 8.2;
- Copy, modify, create derivative works from, reverse-engineer, or decompile the Rflow application code, or otherwise attempt to discover its source code;
- Sell, sublicense, distribute, commercially exploit, or otherwise transfer access to the Service or Your account to any third party without our prior written consent;
- Use or launch automated systems including bots, scrapers, crawlers, or Denial-of-Service (DoS) or Distributed Denial-of-Service (DDoS) tools against the Service or its infrastructure;
- Attempt to gain unauthorised access to the Service, its servers, databases, or any connected systems by any means other than through the interface provided at rflow.co.uk;
- Impersonate any person or entity or misrepresent Your affiliation with any person or entity;
- Submit fictitious, false, or inaccurate information about Yourself;
- Upload malware, viruses, trojans, ransomware, or any other malicious or technologically harmful code;
- Upload AI-generated code or scripts with malicious intent;
- Enable, facilitate, or conduct any form of fraud, including financial fraud, identity fraud, or fraudulent analytics;
- Create multiple accounts to circumvent plan limits or these Terms;
- Frame or embed the Service within any third-party website or application without prior written consent from RSDSL;
- Use the Service in a manner that could damage, disable, overburden, or impair DigitalOcean’s hosting infrastructure;
- Use the Service for any purpose that is unlawful, prohibited by these Terms, or contrary to RSDSL’s Acceptable Use Policy.
8.2 Prohibited Data You must not upload to or process within the Service: (a) Special Category Personal Data (as defined under the UK GDPR), including health data (physical or mental), genetic data, biometric data, data relating to racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, sex life, or sexual orientation; (b) Confidential financial data, banking details, or payment card information belonging to any natural person; (c) Personal data of children under the age of 18; (d) Data funded directly or indirectly by the military, gambling, tobacco, or alcohol industries, or by any government body, unless You have verified that applicable regulations expressly permit such use; (e) Any data that, in RSDSL’s reasonable opinion, could be used to cause harm, discrimination, or offence to any individual or group.
8.3 Breach of this clause may result in immediate suspension or termination of Your account without refund.
| 9. CYBERSECURITY AND SYSTEM INTEGRITY |
9.1 You must not misuse the Service by knowingly introducing viruses, trojans, worms, logic bombs, or any other material that is malicious or technologically harmful.
9.2 You must not attack the Service via a denial-of-service attack or distributed denial-of-service attack.
9.3 You must not attempt to gain unauthorised access to the Service, the servers on which it is hosted, or any server, computer, or database connected to it.
9.4 Any breach of clauses 9.1 to 9.3 constitutes a criminal offence under the Computer Misuse Act 1990 (and equivalent legislation in other jurisdictions). RSDSL will report any such breach to the relevant law enforcement authorities and will cooperate fully with those authorities, including by disclosing Your identity. Your right to use the Service will cease immediately upon any such breach.
9.5 RSDSL implements reasonable technical and organisational security measures but does not guarantee that the Service is free from vulnerabilities. You are responsible for maintaining adequate virus protection on Your own devices and for safeguarding Your own login credentials.
| 10. USER CONTENT AND DATA |
10.1 You retain ownership of any Intellectual Property Rights in User Content that You owned prior to uploading it to the Service.
10.2 By uploading User Content to the Service You grant RSDSL a limited, non-exclusive, royalty-free licence to store, process, and display Your User Content solely as necessary to provide the Service to You. This licence terminates when You delete the relevant Content or close Your account.
10.3 You agree that RSDSL and its authorised staff may access User Content to the extent necessary to: (a) Provide technical support; (b) Investigate suspected breaches of these Terms; (c) Comply with applicable law or a lawful request from a competent authority.
10.4 RSDSL does not sell Your User Content to third parties, nor does it use Your User Content to train machine-learning models without Your prior written consent.
10.5 You represent and warrant that: (a) You own or have obtained all necessary rights, licences, and consents required to upload and process Your User Content within the Service; (b) Your User Content does not infringe the Intellectual Property Rights, privacy rights, or other rights of any third party; (c) Your User Content complies with all applicable laws, including data protection legislation.
10.6 RSDSL may delete Your User Content and account data at any time, with or without prior notice, if You are found to be in breach of these Terms. RSDSL may also delete data associated with inactive accounts in accordance with its data retention policy as set out in the Privacy Notice.
| 11. INTELLECTUAL PROPERTY RIGHTS |
11.1 RSDSL owns or is the licensee of all Intellectual Property Rights in the Service, the Website, and all material published on them, including without limitation trademarks, logos, graphics, photographs, designs, animations, videos, documentation, R scripts generated by the platform, and the Rflow application code.
11.2 Rflow is a registered trademark of RS Data Science Limited. No licence to use the Rflow trademark is granted by these Terms or by Your use of the Service.
11.3 You may not alter, remove, or obscure any copyright notices, trademark legends, or other proprietary markings on any material from the Service.
11.4 You may download Projects in JSON format and annotated R scripts in R format for Your own personal, non-commercial use. These exported files remain Your Content (subject to clause 10.1) but the underlying R code templates, node logic, and structural elements generated by Rflow remain the property of RSDSL.
11.5 You must not use any part of the material on the Website or Service for commercial purposes without obtaining a written licence from RSDSL.
| 12. THIRD-PARTY SERVICES |
12.1 The Service relies on the following third-party providers: (a) DigitalOcean – cloud hosting and infrastructure (London, UK). Terms: digitalocean.com/legal/terms-of-service-agreement (b) Stripe – payment processing and subscription billing. Terms: stripe.com/gb/legal Privacy: stripe.com/gb/privacy (c) Resend – transactional email delivery. Terms: resend.com/legal/terms-of-service Privacy: resend.com/legal/privacy-policy
12.2 RSDSL is not responsible for the acts or omissions of these third-party providers, including any service outages, data loss, security incidents, or other failures attributable to them. Use of the Service constitutes acceptance of those providers’ applicable terms.
12.3 Any links to third-party websites within the Service are provided for convenience only. RSDSL does not endorse or assume responsibility for the content of any linked website.
| 13. DISCLAIMERS AND WARRANTIES |
13.1 The Service is provided “as is” and “as available” without warranty of any kind, whether express or implied.
13.2 To the fullest extent permitted by applicable law, RSDSL hereby disclaims all warranties, including without limitation: (a) Any implied warranty of merchantability, satisfactory quality, or fitness for a particular purpose; (b) Any warranty that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components; (c) Any warranty as to the accuracy, adequacy, completeness, or timeliness of any information, results, or outputs generated by the Service.
13.3 The statistical analyses, visualisations, and R code produced by the Service are provided for educational and informational purposes only. They do not constitute professional statistical, scientific, financial, medical, legal, or other professional advice. You are solely responsible for verifying the accuracy of any outputs and for any decisions made in reliance on them.
13.4 We do not guarantee that the Service, or any content on it – including training materials, tutorials, help documentation, or community support – will always be available or uninterrupted. We may suspend or withdraw the Service or any part of it for business, operational, legal, or security reasons at any time. We will try to provide reasonable advance notice of planned suspension or withdrawal, but this cannot always be guaranteed. The Service may become unavailable without prior warning. This applies to both the Free Plan and the Standard Plan.
| 14. LIMITATION OF LIABILITY |
14.1 Nothing in these Terms excludes or limits RSDSL’s liability for: (a) Death or personal injury caused by our negligence; (b) Fraud or fraudulent misrepresentation; (c) Any liability that cannot be excluded or limited under applicable law.
14.2 Subject to clause 14.1 and to the fullest extent permitted by applicable law, RSDSL shall not be liable to You or any third party, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any: (a) Loss of data or User Content; (b) Loss of business or revenue; (c) Loss of profits; (d) Loss of goodwill or reputation; (e) Loss of anticipated savings; (f) Direct, indirect, special, incidental, or consequential loss or damage of any kind; arising out of or in connection with Your use of, or inability to use, the Service, even if RSDSL has been advised of the possibility of such losses.
14.3 To the fullest extent permitted by applicable law, RSDSL’s total aggregate liability to You in respect of all claims arising under or in connection with these Terms shall not exceed the greater of: (a) The total fees paid by You to RSDSL in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) One hundred pounds sterling (GBP 100).
14.4 For Free Plan users who have paid no fees, RSDSL’s total aggregate liability to You shall not exceed one pound sterling (GBP 1).
14.5 No action, regardless of form, arising out of or related to the use of the Service may be brought by You more than one (1) year after the cause of action has arisen.
| 15. INDEMNIFICATION |
15.1 You agree to indemnify, defend, and hold harmless RSDSL and its officers, directors, employees, agents, and affiliates from and against any and all claims, actions, suits, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) Your breach of these Terms or the Acceptable Use Policy; (b) Your User Content, including any claim that such Content infringes any third-party Intellectual Property Right or other right; (c) Any unauthorised or illegal use of the Service by You or by any person using Your account; (d) Your violation of any applicable law or regulation.
| 16. TERMINATION |
16.1 You may close Your account at any time by contacting us at info@rsdatascience.co.uk or using the account deletion function in Your profile settings. Upon closure, all User Content and associated data will be permanently deleted, subject to any legal retention obligations.
16.2 RSDSL may suspend or terminate Your account and delete Your User Content, immediately and without prior notice, if: (a) You breach any provision of these Terms; (b) We are required to do so by law or court order; (c) We reasonably believe that Your use of the Service poses a security or legal risk to RSDSL or other users; (d) You engage in fraudulent or abusive conduct.
16.3 RSDSL may also terminate or suspend the Service in its entirety, at its sole discretion, with reasonable notice where practicable.
16.4 Upon termination, clauses 10, 11, 14, 15, 17, and 18 survive indefinitely.
| 17. DATA PROTECTION |
17.1 RSDSL processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details of what data we collect, how we use it, and Your rights as a data subject are set out in our Privacy Notice at rflow.co.uk/privacy.
17.2 You acknowledge that You are the data controller in respect of any personal data contained within Your User Content and that You are solely responsible for ensuring that such processing complies with applicable data protection law.
17.3 You must not upload any Prohibited Data as defined in clause 8.2. Any accidental upload of Special Category Personal Data or the personal data of third parties must be reported to RSDSL immediately at info@rsdatascience.co.uk.
| 18. CHANGES TO THESE TERMS AND THE SERVICE |
18.1 RSDSL may amend these Terms at any time. The updated Terms will be published at rflow.co.uk/terms with a revised “Last updated” date. We will not proactively notify You of changes; it is Your responsibility to review these Terms each time You use the Service.
18.2 Your continued use of the Service after any change is posted constitutes Your acceptance of the revised Terms.
18.3 We may update, change, or discontinue any feature or part of the Service at any time and for any reason without liability, subject to the notice obligations in clause 13.4.
| 19. LINKING TO THE SERVICE |
19.1 You may link to the Rflow home page at https://rflow.co.uk provided that You do so in a manner that is fair, legal, and does not damage RSDSL’s reputation or take advantage of it.
19.2 You must not: (a) Link directly to RSDSL’s UK Companies House registration page; (b) Create a link in a way that suggests any form of association, approval, or endorsement by RSDSL where none exists; (c) Establish a link to the Service from a website that You do not own or have authority to operate; (d) Frame the Service on any other website; (e) Link to any part of the Service other than the home page without prior written consent.
19.3 We reserve the right to withdraw linking permission at any time and without notice.
| 20. GOVERNING LAW AND DISPUTE RESOLUTION |
20.1 These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.
20.2 Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation, except that RSDSL retains the right to bring proceedings against You in any court of competent jurisdiction in Your country of domicile or residence.
20.3 For consumers resident in the European Union, nothing in these Terms affects Your right to rely on any mandatory consumer protection provisions applicable in Your country of residence.
| 21. GENERAL |
21.1 Entire Agreement These Terms, together with our Privacy Notice and Acceptable Use Policy, constitute the entire agreement between You and RSDSL relating to Your use of the Service and supersede all prior agreements, representations, and understandings.
21.2 Severability If any provision of these Terms is found to be invalid, unlawful, or unenforceable, it shall be severed from the remaining provisions, which shall continue in full force and effect.
21.3 Waiver No failure or delay by RSDSL in exercising any right under these Terms shall constitute a waiver of that right. A waiver of any breach of these Terms shall not be deemed to be a waiver of any subsequent breach.
21.4 Assignment You may not assign or transfer any of Your rights or obligations under these Terms without RSDSL’s prior written consent. RSDSL may assign its rights and obligations under these Terms without restriction.
21.5 No Partnership or Agency Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between You and RSDSL.
21.6 Force Majeure RSDSL shall not be in breach of these Terms nor liable for any delay or failure to perform its obligations if such delay or failure arises from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, power outages, acts of government, or failures of third-party providers (including DigitalOcean, Stripe, or Resend).
21.7 Notices All notices to RSDSL under these Terms must be sent by email to info@rsdatascience.co.uk. RSDSL may send notices to You at the email address registered to Your account via Resend.
| 22. SECTION 172 COMPANIES ACT 2006 STATEMENT |
This statement describes how RSDSL has engaged with and considers the interests of its key stakeholders when exercising its duty to promote the success of the Company under Section 172 of the Companies Act 2006. RSDSL believes that considering its stakeholders – including Users, employees, suppliers (such as DigitalOcean, Stripe, and Resend), and the wider community – in key business decisions is fundamental to driving sustainable value creation over the longer term.
